Please read these Terms and Conditions carefully before using NinjaCTR. By using the Service, you agree to be legally bound by these terms.
1. Acceptance of Terms
By accessing or using NinjaCTR ('the Service'), you agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use the Service. These terms apply to all users, including agencies, freelancers, and individual subscribers.
2. Description of Service
NinjaCTR provides a SaaS platform for simulating user engagement signals on Google Maps listings. The Service includes campaign management, session simulation, rank tracking, and analytics reporting. Features may change without prior notice.
3. Account Registration
You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately at security@ninjactr.com of any unauthorized access.
4. Subscription & Billing
Subscriptions are billed monthly in advance. All fees are non-refundable except as required by law. Failure to pay will result in suspension of the Service. Price changes will be communicated 30 days in advance via email.
5. Acceptable Use
You agree not to use the Service for any unlawful purpose, to attempt to reverse-engineer the platform, to share account credentials with unauthorized third parties, or to use the Service to target listings you do not own or have explicit permission to manage.
6. Proxy & Automation Disclosure
The Service uses automated browser sessions and residential proxy networks to simulate user engagement. Users acknowledge that the use of automated engagement signals may carry risk and agree to use the Service at their own discretion.
7. Intellectual Property
All software, designs, documentation, and content on the NinjaCTR platform are the intellectual property of NinjaCTR Inc. You may not copy, reproduce, or redistribute any part of the Service without written permission.
8. Limitation of Liability
NinjaCTR shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service, including but not limited to loss of revenue, data, or business opportunities. Our maximum liability shall not exceed the amount paid by you in the 3 months prior to the claim.
9. Termination
We reserve the right to suspend or terminate your account at any time for violation of these terms. You may cancel your subscription at any time through your billing settings. Upon termination, your data will be retained for 30 days and then permanently deleted.
10. Changes to Terms
We may update these Terms at any time. Continued use of the Service after changes constitutes acceptance of the new terms. We will notify you of material changes via email at least 14 days in advance.
11. Governing Law
These Terms are governed by the laws of the State of Delaware, United States. Any disputes shall be resolved in the courts of Delaware. If any provision of these terms is found unenforceable, the remaining provisions shall remain in effect.
